Paramount CEO David Ellison has threatened to relocate his studio from California, unless an agreement is reached regarding the antitrust lawsuit led by California Attorney General Rob Bonta. Puck News highlighted Ellison’s consideration of moving the headquarters to states like Georgia, Tennessee, or Texas if the merger with Warner Bros. Discovery remains unresolved by October 1.
Ellison is reportedly in contact with officials from multiple states, hinting at serious relocation plans. He faces a pressing issue, as failing to reach a settlement might result in paying a significant “ticking fee” to Warner Bros. Discovery. Paramount is determined about their potential success in court, but an antitrust trial will not occur until March 2027. This delay could mean paying $650 million quarterly until a resolution is achieved.
The antitrust trial has been scheduled, pausing the merger due to legal disputes. Paramount became the first prominent studio to voice against the boycott of Israeli film institutions.
Bonta criticized Paramount’s recent activities, accusing the studio of attempting to “blackmail” the state into accepting what he argues is an “illegal deal.” He assured that the merger would not succeed, as it could lead to increased costs, fewer options, and reduced content.
The lawsuit filed in the U.S. District Court for Northern California claims the merger violates the Clayton Act by significantly reducing competition and creating monopoly-like conditions. The trial has been delayed until at least June 2027.
Bonta’s actions faced scrutiny, with accusations of conflicts of interest from his Republican opponent, Michael Gates. Gates questioned whether financial ties with Netflix co-founder Reed Hastings’ family influenced Bonta’s lawsuit decision. On March 16, 2022, Hastings’ wife contributed $1 million to a fund supporting Bonta and other progressive prosecutors.
Previously, Netflix considered acquiring Warner Bros. Discovery before Paramount’s offer. Some staff at CNN anticipate the merger despite legal challenges. Paramount’s acquisition aims to merge major studios and networks under a single entity, which critics say would devastate the entertainment industry.
Libertarian and liberal critics voiced concerns that the merger might shift CNN’s editorial perspective, although Ellison asserted that CNN would retain independence. In a New York Times op-ed, Ellison expressed his commitment to factual, unbiased news, emphasizing that newsrooms should represent diverse viewpoints.
The merger comes on the heels of Ellison’s significant acquisition of Paramount for $8 billion, combining it with Skydance Media. Fox News Digital reached out to Paramount and AG Bonta’s office but has yet to receive comments.
